Job description

This position will support our rapidly growing Transaction Advisory Services group. This team conducts due diligence and supports clients across a wide range of industries. As a member of this team, you’ll not only have the opportunity to interact with clients but also to interact with team members across all levels within the practice., * Execute key workstreams across buy-side and sell-side IT due diligence engagements, from information request development and data room review through management interviews, analysis, and reporting.

  • Assess technology strategy, IT organization and operating model, business applications, infrastructure and cloud environments, cybersecurity, data and analytics capabilities, IT service delivery, and third-party dependencies.
  • Analyze IT spend, staffing, contracts, licensing, vendor relationships, planned initiatives, technical debt, and required investments. Assist with developing high-level cost estimates and investment considerations where appropriate.
  • Identify technology risks, scalability constraints, operational dependencies, cost-saving opportunities, value creation initiatives, and integration or separation considerations in the context of the transaction thesis.
  • Prepare clear, concise, and executive-ready diligence reports, presentations, current-state assessments, data summaries, and supporting analyses that explain the business impact of technical findings.
  • Lead or actively participate in client, target management, and internal team meetings. Ask effective follow-up questions and communicate technical topics to both technical and non-technical stakeholders.
  • Coordinate engagement activities, maintain request lists and project trackers, monitor deadlines, and escalate data gaps, risks, or delivery concerns in a timely manner.
  • Review the work of junior team members and provide practical coaching and feedback, as assigned.
  • Collaborate with cybersecurity, software diligence, financial diligence, tax, operations, and other transaction specialists to address cross-functional deal considerations.
  • Support practice development through reusable tools and templates, market research, proposals, thought leadership, and other internal initiatives.
  • Stay current on enterprise technology, cloud, cybersecurity, data, artificial intelligence, and M&A trends relevant to technology diligence.

Requirements

  • Bachelor’s degree in information technology, information systems, computer science, engineering, business, finance, or a related field, or equivalent relevant experience.
  • 3 to 5 years of experience in technology consulting, IT advisory, transaction advisory, an internal IT function, or another client-facing technology role.
  • Working knowledge of enterprise applications, IT infrastructure, cloud platforms, cybersecurity, IT operating models, and technology governance.
  • Ability to analyze qualitative and quantitative information, identify implications, and develop well-supported conclusions under tight deadlines.
  • Strong project management and organizational skills, including the ability to prioritize work across multiple concurrent engagements.
  • Excellent written and verbal communication skills, with demonstrated ability to prepare professional client deliverables and communicate with senior stakeholders.
  • Advanced proficiency in Microsoft PowerPoint, Excel, and Word.
  • High attention to detail, sound judgment, intellectual curiosity, and a collaborative working style.
  • Ability to handle confidential information with discretion and travel as client needs require., * Direct experience supporting IT due diligence, M&A integration or separation, carve-outs, technology transformation, or transaction-related advisory engagements.
  • Experience assessing one or more IT domains in depth, such as enterprise applications, infrastructure and cloud, cybersecurity, IT operations, data and analytics, or IT financials.
  • Familiarity with ERP, CRM, HRIS, business intelligence, and other enterprise platforms, as well as common cloud and productivity environments.
  • Experience with IT cost analysis, technology investment estimates, synergy identification, or Day 1 and post-close planning.
  • Familiarity with IT governance, risk, and service management frameworks such as COBIT, ITIL, NIST CSF, or ISO 27001.

Actual compensation within the range will be dependent upon the individual’s skills, experience, qualifications and location, and applicable employment laws.
